Terms of service.

By using PracticeIQ you accept these terms. Enterprise customers may negotiate a separate Master Service Agreement that supersedes them.

1. The Service

PracticeIQ is an AI receptionist software-as-a-service for healthcare practices. The Service includes voice answering, chat, appointment booking, reminders, and analytics, as described on our website.

2. Account

You must register an account to use the paid Service. You agree to provide accurate information and to keep credentials confidential. You are responsible for all activity under your account.

3. Acceptable use

You may not:

  • Use the Service for any unlawful purpose
  • Send spam or unsolicited communications via the Service
  • Attempt to bypass rate limits, authentication, or security controls
  • Resell the Service or sublicense access without our written agreement
  • Use the Service to make medical diagnoses or render clinical advice — the AI is a receptionist, not a clinician

4. Fees and billing

Pricing is provided on a discovery call and confirmed in your order form. Subscriptions auto-renew unless cancelled before the renewal date. Setup fees are non-refundable once onboarding has begun. We may change list pricing on 60 days' notice; existing contracts hold their current rate through the term.

Billing is processed via Stripe. We never store your card information.

5. Term and termination

Subscriptions run month-to-month or for the term in your order form. Either party may terminate for material breach with 30 days' notice and a chance to cure. We may suspend the Service immediately for non-payment after 15 days past due.

On termination, we will return or destroy customer data within 90 days, per our BAA where applicable.

6. HIPAA / PHI

When the Service processes Protected Health Information, the BAA you sign with us governs. The BAA is incorporated by reference into these Terms. See our Security Policy for technical and administrative safeguards.

7. Customer data

You retain all rights to data you submit to the Service. You grant us a limited license to process that data solely as necessary to deliver the Service and as permitted under the BAA.

De-identified data (stripped of all 18 HIPAA identifiers per 45 C.F.R. § 164.514(b)(2)) may be used by us to improve the Service.

8. Service availability

Pilot target: 99.5% monthly uptime. Post-AWS-migration target: 99.9% monthly uptime. Both exclude scheduled maintenance announced at least 24 hours in advance. SLA credits for downtime are described in the Service Level Agreement attached to each customer's Master Services Agreement.

9. Disclaimers

The Service is provided on an "as-is" basis. To the maximum extent permitted by law, we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). Customer-managed integrations (e.g., your PMS) may fail for reasons outside our control.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees paid to us in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.

11. Indemnification

Each party will indemnify the other against third-party claims arising from its breach of these Terms or violation of law.

12. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law provisions. Disputes will be resolved in the state or federal courts located in Orange County, Florida.

13. Changes

We may update these Terms. Material changes are announced 30 days in advance. Continued use after the effective date constitutes acceptance.
